These Terms & Conditions (“Terms”) govern your access to and use of the Family calendar web application (the “Service”) provided by Wouldwork (“Wouldwork,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms and our Privacy Policy.
1. Eligibility
You must be able to form a binding contract and must not be barred from using the Service under applicable law. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. Accounts
The Service may allow or require you to sign in using a phone number, an email address, or other methods we support (such as password-based sign-in where offered). You agree to provide accurate information and to keep your credentials, devices, and email inbox access secure. You are responsible for activity that occurs under your account unless caused by our gross negligence or willful misconduct.
3. License and acceptable use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, as applicable.
You agree not to:
- violate law or third-party rights;
- probe, scan, or test the vulnerability of the Service without authorization;
- interfere with or disrupt the Service, networks, or other users (including by sending spam or malware);
- attempt to gain unauthorized access to accounts, data, or systems, or circumvent security measures;
- reverse engineer, decompile, or disassemble any part of the Service except where such restriction is prohibited by law;
- use the Service to build a competing product or to benchmark or scrape in a manner that violates our rights or applicable law.
4. User content
You may submit or store content (such as calendar information) through the Service (“User Content”). You retain ownership of your User Content. You grant Wouldwork a worldwide, non-exclusive license to host, process, transmit, and display User Content solely to provide and improve the Service and as required by law.
You represent that you have all rights necessary to provide User Content and that it does not violate law or these Terms. We may remove or restrict User Content that violates these Terms or that we reasonably believe is harmful, but we are not obligated to monitor User Content.
5. Third-party services
The Service may rely on third-party providers (including telecommunications, SMS, and email delivery infrastructure). Your use of those providers may be subject to their terms and policies.
6. Availability and changes
We strive for reliable operation, but the Service is provided on an “as available” basis. We may modify, suspend, or discontinue features with reasonable notice where practicable. We may update these Terms; the “Last updated” date will change. Continued use after updates constitutes acceptance of the revised Terms unless applicable law requires additional consent.
7. Transactional authentication (SMS and email)
7.1 SMS (text messages)
If you provide your phone number and opt in to our text messaging program for account security, you consent to receive transactional messages such as one-time security codes and magic links on your mobile device, as applicable to the Service configuration.
Standard message and data rates may apply. Message frequency varies based on your use of the Service.
By providing your phone number and requesting sign-in or verification messages, you consent to receive those transactional texts. If you no longer wish to receive certain messages, follow the applicable opt-out path described below. Opting out may limit your ability to use phone-based sign-in.
Customer care (SMS): For assistance, reply HELP to the number from which you received the message (where supported), or contact us at legal@wouldwork.com.
Opt-out (SMS): To stop receiving SMS messages from our program where supported, reply STOP at any time. You may also contact us at legal@wouldwork.com.
Carriers: Carriers are not liable for delayed or undelivered messages.
7.2 Email (magic links)
If you provide an email address and request a sign-in link, you consent to receive transactional email at that address for account security. These emails contain time-limited links and are sent because you asked us to; they are not marketing newsletters. Message frequency depends on how often you request sign-in links.
You are responsible for protecting access to your email account and any device you use to open sign-in links. Anyone with access to your inbox or the link while it is valid may be able to sign in as you until the link expires or is used.

Email delivery depends on your provider and network; we are not responsible for delays, spam filtering, or failures outside our reasonable control.
This Section 7 is intended to satisfy common disclosure expectations for SMS-based two-factor and transactional authentication programs (including guidance applicable to messages sent via providers such as Twilio) and to describe our transactional email sign-in practice.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOULDWORK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID WOULDWORK FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT PAID US.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.
10. Indemnity
You will defend and indemnify Wouldwork and its affiliates from third-party claims, damages, and costs (including reasonable attorneys' fees) arising from your User Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk or harm, or if we are required to do so by law. Provisions that by nature should survive will survive termination (including Sections 8–13).
12. Governing law; disputes
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules that would apply another jurisdiction's law, unless mandatory consumer protection laws in your place of residence provide otherwise.

13. General
These Terms, together with the Privacy Policy and any additional terms we present for specific features, constitute the entire agreement between you and Wouldwork regarding the Service. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
